Publisher and purpose
Ossire, SASU with share capital of 1 000 EUR, trading as VERA Forensics, SIRET 994 594 794 00020, 994 594 794 R.C.S. Paris, VAT FR83 994 594 794, registered office 78 Avenue des Champs-Élysées, Bureau 326, 75008 Paris. Contact: alexandre@veraforensics.com. Publication director: Alexandre Ansart.
These terms govern the use of the VERA software (the “Software”), its installers, updates, documentation and the licence keys that activate it. They complement the terms of use of the account and, where one exists, the contract signed with the organisation (the “Contract”). Where they conflict, the Contract prevails.
The Software is licensed, not sold.
Grant
VERA Forensics grants the organisation that holds the account (the “Licensee”) a non-exclusive, non-transferable right of use, without the right to sublicense, for its internal needs and for as long as the licence key is valid.
This right covers installation on the organisation's workstations used by the people to whom a key was issued, and the copies strictly needed for that use and its backup.
Evaluation licence
Access opened by invitation or for a pilot, without a paid contract, is an evaluation licence. It is free, limited to the period shown in the account, and meant for evaluating the Software. It is provided as is, without warranty or maintenance commitment.
It ends on the key's date, or earlier if VERA Forensics so decides. It can be extended, or followed by a contract.
Personal key and installer
Each key is issued in the name of a person, a shared workstation or the organisation. It carries an identifier, and the Software may show its holder on screen.
The Licensee and each user keep the installer and the key under their responsibility. They do not pass them on, publish them, host them or make them available to anyone outside the organisation's authorised people.
Any loss, disclosure or unauthorised use of a key or an installer is reported to VERA Forensics without delay, and within 48 hours at the latest, at alexandre@veraforensics.com.
The Licensee is answerable for the use made with the keys issued to it, unless it reported their loss within that time.
Prohibited uses
Unless VERA Forensics agrees in writing beforehand, it is prohibited:
— to copy, distribute, lend, rent, assign or make available the Software, an installer or a key;
— to bypass, disable or alter the licence check, the display of the holder or any other technical protection measure;
— to decompile, disassemble or reverse engineer the Software, outside the cases and limits set by article L. 122-6-1 of the French Intellectual Property Code;
— to access the Software on behalf of a vendor of competing tools, or to use it to design, develop or improve a competing product;
— to publish or circulate screenshots, recordings, demonstrations, comparisons or performance measurements of the Software;
— to show the Software running to people outside the organisation.
These prohibitions do not restrict the use of the Software in proceedings: reports, exports and findings produced for a case may be shared with the authorities and the parties to those proceedings.
Confidentiality and trade secrets
The Software, its screens, documentation, installers, keys and the non-public information VERA Forensics shares are confidential. They are trade secrets within the meaning of articles L. 151-1 and following of the French Commercial Code.
The Licensee protects them with at least the care it gives its own confidential information. It gives access only to people who need it and who are bound by the same obligations.
This obligation applies for the whole licence and five years after it ends. It does not cover information that became public through no fault of the Licensee.
Traceability
Each account, each key and each download is personal. VERA Forensics keeps the date, the account, the version downloaded and the acceptance of these terms.
The key contains its holder's name and an identifier, which the Software may show on screen and write into its exports. This processing is described in the privacy policy.
Breach
If these terms are breached, VERA Forensics may suspend the account, revoke the keys concerned, exclude them from later versions of the Software and terminate the licence, without notice or compensation.
Unauthorised copying or distribution of the Software is infringement (articles L. 335-2 and L. 335-3 of the French Intellectual Property Code). VERA Forensics reserves the right to claim damages.
End of the licence
When the key expires or the licence is terminated, the Licensee stops using the Software, uninstalls it and deletes the installers and keys it holds.
Case files and exports produced with the Software remain the Licensee's property.
Governing law
French law. Courts of Paris, subject to mandatory venue rules.
